Caterbase is a comprehensive catering business management platform designed to help catering companies streamline their operations. Our Service includes, but is not limited to:

  • Event Management: Tools for planning, organizing, and tracking catering events from initial inquiry to completion.
  • Customer Database: A centralized system for managing customer information, communication history, and preferences.
  • Menu Builder: Features for creating, customizing, and pricing menus for proposals and events.
  • Online Booking: A customer-facing booking system that allows clients to submit inquiries and book events.
  • Payment Processing: Integrated payment solutions for invoicing and collecting payments from customers.
  • Prep Lists: Kitchen preparation and execution tools to help manage event day operations.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability.

3. Account Registration and Responsibilities

To use certain features of the Service, you must register for an account. When you register, you agree to:

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Illegal Activity: Use the Service for any illegal purpose or in violation of any local, state, national, or international law or regulation.
  • System Abuse: Engage in any activity that interferes with or disrupts the Service, servers, or networks connected to the Service. This includes transmitting viruses, malware, or any other malicious code.
  • Unauthorized Access: Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Data Mining: Use any automated system, including "robots," "spiders," or "offline readers," to access the Service in a manner that sends more requests to our servers than a human can reasonably produce.
  • Misrepresentation: Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.

Violation of these acceptable use policies may result in immediate termination of your account and access to the Service, and may subject you to legal liability.

5. Payment Terms

Access to certain features of the Service requires a paid subscription. By subscribing to the Service, you agree to the following:

  • Subscription-Based Pricing: The Service operates on a subscription model with various pricing tiers. Pricing details are available on our website and may be updated from time to time.
  • Billing: All payments are processed through Stripe, our third-party payment processor. By providing your payment information, you authorize us to charge your payment method for the subscription fees.
  • Recurring Charges: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription rate upon renewal.
  • Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds will be provided for partial billing periods.
  • Price Changes: We reserve the right to change our subscription fees. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

All fees are exclusive of taxes, and you are responsible for paying any applicable taxes associated with your use of the Service.

6. Data and Content Ownership

We respect your ownership rights to the data and content you upload to the Service:

  • Your Data: You retain all rights to any data, content, or materials you submit, post, or display through the Service ("User Content"). Caterbase does not claim ownership of your User Content.
  • License to Caterbase: By using the Service, you grant Caterbase a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.
  • Data Export: You have the right to export your data at any time through the Service's export functionality. We provide tools to help you retrieve your data in common, usable formats.
  • Data Deletion: You may request deletion of your data at any time. Upon account termination or deletion request, we will delete your User Content within a reasonable timeframe, subject to any legal retention requirements.

7. Third-Party Services

The Service integrates with and may rely on third-party services to provide certain functionality:

  • Payment Processing: We use Stripe to process payments. Your use of Stripe's services is subject to Stripe's terms of service and privacy policy.
  • Communication Services: We integrate with email and SMS providers to enable notifications and customer communications. These services are subject to their respective terms and conditions.
  • Other Integrations: The Service may integrate with other third-party tools and platforms. Your use of these integrations may be subject to additional terms.

Caterbase is not responsible for the availability, accuracy, or content of third-party services. We do not endorse and are not liable for any third-party services, their terms, or their practices. Your interactions with third-party services are solely between you and the third party.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • "As Is" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • No Guarantee: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
  • Indirect Damages: IN NO EVENT SHALL CATERBASE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
  • Liability Cap: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Caterbase and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your User Content
  • Your violation of any rights of a third party
  • Your violation of any applicable laws, rules, or regulations

10. Termination

Either party may terminate your account and access to the Service:

  • Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.
  • Termination by Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.
  • Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will retain your User Content for a period of 30 days following termination, during which you may request an export of your data. After this period, we may delete your data permanently.
  • Survival: Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in California. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by:

  • Posting the updated Terms on this page with a new "Last updated" date
  • Sending you an email notification to the address associated with your account
  • Displaying a prominent notice within the Service

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of the Service.
